Eco Flower Fairies LLC (EFF LLC) - Wholesale Information, Terms & Conditions

1. General Information
Eco Flower Fairies is the U.S. trade name, and Eco Flower Fairies LLC is the exclusive distributor of the Romanian manufacturer S.C. Ambrosius Prodcom S.R.L.

2. Manufacturing Materials
Our dolls are handcrafted in the Waldorf tradition using environmentally friendly materials: wool felt, wool, cotton interlock knit, cotton fabric, pipe cleaner wire, wood, non-toxic textile paint, and recycled paper.

3. Safety Warning
CHOKING HAZARD! Except for the dollhouse dolls, our seasonal collection dolls are not toys but ornaments for decorative purposes. They contain small parts that may detach if mishandled and are not suitable for children under the age of 3.

All prices are listed in U.S. dollars and are subject to change without notice. Confirmed order pricing will be honored.
To ensure compliance with applicable U.S. toy safety standards and the manufacturer’s intent, products purchased from EFF LLC must be sold as follows:
- Products must always be sold with the provided product tags.
- White label sales or sales under a different brand name are prohibited.
- Online listings must include the following in the product description: "Handcrafted in Romania by SC Ambrosius Prodcom SRL for Eco Flower Fairies LLC, the exclusive U.S. distributor."

6. Packaging Options
We do not provide individual packaging for wholesale purposes. All wholesale orders are delivered in bulk with bulk hangtags only. Additional packaging supplies are optional and can be ordered at https://www.ecoflowerfairies.com/products/bulk-packaging

7. Changes to Orders
Any changes or cancellations must be emailed within 24 hours. We cannot change or cancel orders once they have been processed and shipped.

8. Minimum Advertised Price (MAP)
Our products are handmade and require significant time and detail. To preserve their value and honor the craftsmanship, they must be sold at or above the Minimum Advertised Price (MAP) which is the same as the full, undiscounted price listed for each product on our website.

9. Temporary Sales / Discounts
For temporary discounts on individual products, the following restrictions apply:
• Maximum discount: 15%
• Maximum duration: 4 days
• Frequency: no more than once a month
• Seasonal collections cannot be discounted during their corresponding season; they may only be discounted at the beginning of the following season (e.g., the Summer Collection can only be discounted after the Fall Collection is available).
• Exceptions: Sales related to major holidays (e.g., Valentine’s Day, Easter, Mother’s Day, Christmas) and Black Friday/Cyber Monday can be extended to one week and include all products, regardless of season.
• Sale pricing may only apply to goods held in stock by the Wholesale Account.
• For discounts above 15% or for longer durations, prior approval from the distributor is required.
• First-time buyer and newsletter sign-up discounts of 10% or less are allowed, but permanent discounting through affiliate codes is not permitted.

10. Permanent Sales / Discounts
If a permanent discount is offered, the following minimum quantity restrictions apply:
- 5% off for a purchase of 3 dolls
- 10% off for a purchase of 4 dolls or more

11. Returns
No returns of wholesale orders will be accepted, except for damaged or defective goods, which may be returned with prior notice. Details of our returns and refunds policy are listed at https://www.ecoflowerfairies.com/pages/wholesale-returns-and-refunds.

12. Damages
Please inspect all shipments immediately upon arrival. Report any damaged or defective items to us at ecoflowerfairies@gmail.com within 3 business days of receipt, and notify the shipping courier immediately. Damaged or defective items may be returned and will be replaced with new merchandise within 15 days of order receipt.

13. Payments
We accept MasterCard, Visa, American Express, PayPal, and checks made payable to Eco Flower Fairies LLC. All orders require pre-payment. As of September 15, 2022, Net30 agreements are no longer accepted.

14. Availability
By default, all out-of-stock goods will NOT be placed on back-order. Orders will be filled based on availability.

15. Preorders
Due to the limited manufacturing capacity of our handmade items, we primarily operate on a preorder basis, with only a small quantity available for direct purchase through our website.
Preorders are offered via a seasonal newsletter, which includes a link introducing the collection currently in production. Items can be preordered at no cost within the specified preorder timeframe.
Please note that preorders are binding and cannot be canceled, regardless of production or shipping delays. If a preorder is canceled for reasons other than unforeseen circumstances (e.g., going out of business or closing a store), the preorder option for that vendor will be revoked. The vendor may still purchase from us, but only from the in-stock items remaining after all preorders have been fulfilled.
All preorders must be paid for at the time of fulfillment, prior to shipping.

16. Shipping
Shipping charges will be invoiced. Occasionally, we offer free shipping based on purchase value. All orders ship from Phoenix, AZ, via USPS and UPS. We do not drop-ship. Please allow at least 10 business days from the time of your order for receipt of shipment.

17. Third-Party Portals
Items purchased from EFF LLC may not be sold through Amazon, eBay, Etsy, Facebook, or similar social media groups, or any other third-party shopping portal (defined as any site not owned by the reseller) without prior written permission.

18. Product Information and Images
All product information and images from our website may be reused for reselling purposes.
We do not send catalogs in the mail to protect the environment. Our “Products A-Z Collection” serves as our showroom.

19. Partnership
When you purchase wholesale from us, your business will automatically be added to our newsletter and listed on the “Our Retailers” page. https://www.ecoflowerfairies.com/pages/our-retailers

20. Wholesale Agreement
By reselling our products, you implicitly agree to all of the terms and conditions listed above. All our vendors are also subject to the following:
• If our Terms and Conditions are not observed, we will contact you to address the situation. Repeated breaches may result in the permanent revocation of the wholesale discount.
• In the event of unforeseen circumstances, we reserve the right to revoke the wholesale discount at any time.
